Company: BIM Tools LLC (“Company,” “we,” “us”)

These Terms of Service (“Terms”) govern your access to and use of ClashPilot, including the Revit add-in, related cloud APIs, documentation, and the website (collectively, the “Services”).

1. Acceptance of Terms

By installing, accessing, or using the Services, you agree to these Terms. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization, and “you” includes that organization.

2. Definitions

  • “Customer Data” means data submitted to the Services by or on behalf of you, including minimized clash/job payloads and support submissions.
  • “Documentation” means user guides and materials we provide for the Services.
  • “Order” means a subscription order, plan selection, or invoice for paid access.

3. License Grant

Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use the ClashPilot add-in and access the Services for your internal business purposes.

4. Subscription, Fees, and Billing

Paid features require a subscription. Fees, billing terms, and renewal settings (if any) are described at checkout or in an Order. You are responsible for taxes and all charges associated with your account, except where prohibited by law.

5. Customer Data, Privacy, and Data Processing

Privacy Policy. Our collection and use of personal information is described in our Privacy Policy. In the event of a conflict between these Terms and the Privacy Policy on a privacy issue, the Privacy Policy controls.

Customer Data ownership. As between you and Company, you retain all right, title, and interest in Customer Data. We obtain only the rights needed to provide, secure, and improve the Services as described in these Terms and the Privacy Policy.

Minimized cloud processing. ClashPilot is designed to avoid uploading Revit model files (.RVT) and instead process a minimized JSON representation of clash geometry/metadata needed to compute recommendations. You are responsible for ensuring you have the right to submit Customer Data to the Services.

Data location. The Services are hosted on cloud infrastructure in the United States in standard deployments. Data residency options may be available for enterprise arrangements.

Enterprise/DPA. If your organization requires a Data Processing Addendum (DPA) or specific retention/deletion controls, contact us at eli@bimtools.com.

6. Telemetry and Training

The Services may collect limited “safe” telemetry (counts, derived features, and hashed identifiers) to improve reliability and performance. Any “training” payload capture intended to improve models is opt-in and may be restricted by tenant allowlists depending on deployment. Enterprise customers may request telemetry restrictions.

7. Acceptable Use

You agree not to (and not to permit others to):

  • Use the Services in violation of law or third-party rights.
  • Attempt to access or extract data from another tenant, user, or customer.
  • Reverse engineer, decompile, or attempt to derive source code except where prohibited by law.
  • Interfere with or disrupt the Services (including bypassing rate limits or security controls).
  • Upload malicious code or attempt to exploit vulnerabilities.

8. Customer Responsibilities and Professional Judgment

ClashPilot is a coordination aid. You are responsible for reviewing and validating outputs and for all engineering/design/construction decisions. You are responsible for maintaining appropriate backups and controls in your BIM workflows.

9. Support and Service Changes

Support options vary by plan. We may update or modify the Services and may add, change, or remove features. We will use commercially reasonable efforts to avoid materially degrading core functionality without notice.

10. Security

We implement safeguards designed to protect the Services and Customer Data, including encryption in transit and access controls. You are responsible for safeguarding your devices, credentials, and local model environment.

11. Intellectual Property

We and our licensors retain all right, title, and interest in the Services, Documentation, and all related intellectual property. These Terms do not grant you any rights except as expressly stated.

12. Warranty Disclaimer

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, COMPANY WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS INTERRUPTION. COMPANY’S TOTAL LIABILITY FOR ALL CLAIMS IN ANY 12-MONTH PERIOD WILL NOT EXCEED THE FEES PAID BY YOU FOR THE SERVICES IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

14. Term and Termination

These Terms remain in effect while you use the Services. We may suspend or terminate access if you violate these Terms or if required for security or legal reasons. Upon termination, your right to use the Services stops, and we may disable licenses or access tokens. Customer Data may remain in backups or logs for a limited period consistent with configured retention and legal requirements.

15. Governing Law

These Terms are governed by the laws of the State of South Carolina, excluding its conflict of laws rules.

16. Changes to These Terms

We may update these Terms from time to time. Changes will be posted on this page with an updated “Last Updated” date. Continued use after changes take effect constitutes acceptance of the revised Terms.
